Vellismith is a brand owned and operated by Kamadhayini Consumers Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at floor 2, 46/4, Novel Tech Park, Kudlu Gate, Bengaluru 560068, Karnataka, India.

References to "Vellismith", "we", "us", or "our" in these Terms refer to Kamadhayini Consumers Private Limited and all brands, platforms, and services operated by it, including present and future platforms launched under the same legal entity.

These Terms apply to your use of vellismith.com and any other platform, website, or service operated by Kamadhayini Consumers Private Limited.

2. Acceptance of Terms

By accessing this website, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, Shipping Policy, and Return & Exchange Policy.

If you do not agree with any part of these terms, please do not use this website or place an order.

3. Products and Pricing

Handcrafted Variation

Vellismith jewelry is handcrafted by skilled karigars in West Bengal. Natural variations in texture, finish, and minor dimensional differences are inherent to handmade objects and are not defects. Product photographs are representative — your piece will be similar but not identical to the image shown.

Pricing

All prices on vellismith.com are displayed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. We reserve the right to change prices at any time without prior notice. The price applicable to your order is the price displayed at the time of checkout confirmation.

Availability

All orders are subject to product availability. We reserve the right to limit quantities, refuse orders, or cancel orders at our discretion — including after an order has been confirmed — if a product becomes unavailable, if there is an error in pricing or product description, or for any other reason at our sole discretion. In the event of cancellation by us, a full refund will be issued.

International Pricing

For international orders, prices are charged in INR. Currency conversion, international transaction fees, customs duties, and import taxes are the sole responsibility of the buyer. Vellismith does not collect or refund any such charges.

4. Orders and Payment

Order Confirmation

Placing an order constitutes an offer to purchase. An order is confirmed only upon receipt of a confirmation from us via email or WhatsApp. We reserve the right to decline any order for any reason.

Payment

Payment must be made in full at the time of ordering. We accept payment through the methods displayed at checkout. For COD orders, a non-refundable handling charge of ₹120 is collected upfront at checkout. All payment information is processed securely through our payment gateway partners.

Order Cancellation by Customer

Orders may be cancelled within 12 hours of placement provided the order has not yet been dispatched. To cancel, contact us immediately via WhatsApp at +91-9062982656. Once dispatched, orders cannot be cancelled.

Right to Refuse or Cancel

We reserve the right to refuse, cancel, or limit orders from customers who have previously violated our policies, engaged in fraudulent activity, made bad faith complaints, or behaved in a manner inconsistent with our Service Philosophy. This includes but is not limited to: threatening negative reviews to extract compensation, filing false damage or non-delivery claims, and refusing COD delivery without prior communication.

5. Intellectual Property

Our Original Designs

All original jewelry designs created by Vellismith and its karigars are the exclusive intellectual property of Kamadhayini Consumers Private Limited. This includes designs that have been physically produced, photographed, published on this website, or shared on any social media platform operated by us.

We maintain timestamped records of all original designs including the date of first publication and production. Unauthorized reproduction, copying, manufacturing, or distribution of our designs — in whole or in part — by any individual, manufacturer, wholesaler, or business constitutes infringement of our intellectual property rights and will be pursued through appropriate legal channels.

Website Content

All content on vellismith.com — including but not limited to photographs, product descriptions, text, graphics, logos, and the overall design — is the property of Kamadhayini Consumers Private Limited and is protected under applicable intellectual property laws. No content may be reproduced, distributed, modified, or used for any commercial purpose without our prior written consent.

6. Customer Data and Privacy

Data Collection

When you place an order or create an account with us, you provide personal information including your name, contact details, delivery address, and payment information. You consent to our collection, storage, and use of this information as described in this clause and in our Privacy Policy.

Use of Data Across Platforms

Kamadhayini Consumers Private Limited operates multiple brands and platforms. By placing an order or creating an account with any platform operated by Kamadhayini Consumers Private Limited, you consent to your data being used, stored, and processed across all platforms and services operated by Kamadhayini Consumers Private Limited, including present platforms and platforms launched in the future under the same legal entity.

This allows us to provide a unified experience across our platforms, offer you personalised recommendations, communicate relevant offers, and improve our services. Your data will never be sold to third parties outside of Kamadhayini Consumers Private Limited's own platforms and services.

Marketing Communications

By placing an order you consent to receiving transactional communications regarding your order via WhatsApp, SMS, and email. You may also receive marketing communications from us and from other platforms operated by Kamadhayini Consumers Private Limited. You may opt out of marketing communications at any time by contacting us at hello@vellismith.com.

Data Retention

We retain your data for as long as necessary to fulfil the purposes for which it was collected, comply with legal obligations, resolve disputes, and enforce our agreements. Order data is retained for a minimum of 7 years in compliance with applicable Indian law.

7. Delivery and Risk

Delivery timelines are estimates and not guarantees. Risk of loss and title for products purchased passes to you upon dispatch from our warehouse. Vellismith is not responsible for delays caused by courier partners, natural events, strikes, or other circumstances beyond our reasonable control.

Our maximum liability for any delivery failure is limited to re-dispatch of the order or a refund of the order value. We do not accept liability for indirect losses, consequential damages, or claims of mental distress arising from delivery delays or failures caused by third-party courier partners.

8. Returns, Exchanges, and Refunds

Our Return and Exchange Policy forms part of these Terms and Conditions. Please read it in full before placing an order. By placing an order you acknowledge that you have read and understood our Return and Exchange Policy.

Our maximum liability in all cases is limited to the value of the order placed. We do not accept liability for indirect losses, incidental damages, or consequential damages of any kind.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Kamadhayini Consumers Private Limited, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of goodwill, mental distress, or other intangible losses — arising from your use of or inability to use our website or products.

Our total liability to you for any claim arising from your purchase shall not exceed the amount paid by you for the specific order giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kamadhayini Consumers Private Limited and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses — including legal fees — arising from your violation of these Terms, your use of our website, your purchase of our products, or your violation of any third party rights.

11. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms, your use of our website, or your purchase of our products shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt resolution through good faith negotiation for a period of 30 days from the date the dispute is notified in writing.

In compliance with the Consumer Protection (E-Commerce) Rules, 2020, the details of the Grievance officer are as mentioned below.

12. Amendments

We reserve the right to modify these Terms and Conditions at any time without prior notice. The most current version will always be available at vellismith.com. Your continued use of the website or placement of an order after any modification constitutes your acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Shipping Policy, Return & Exchange Policy, constitute the entire agreement between you and Kamadhayini Consumers Private Limited with respect to your use of vellismith.com and your purchase of our products. They supersede all prior agreements, representations, and understandings.
